CONSTITUTION OF THE SINNERS ASSEMBLY

PREAMBLE: We, the members of The Sinners Assembly are not for profit and non-political organization do firmly and solemnly resolve to provide for ourselves a Constitution and to be governed by the provisions therein contained.

ARTICLE 1:  NAME: The name of the coalition shall be known and address as: THE SINNERS ASSEMBLY (hereinafter referred to as “The Assembly”)

ARTICLE 1.2. Motto: The Motto of the Assembly shall be: “WE DAILY STRIVE FOR PERFECTION”
ARTICLE 2: ADDRESS: Shall Be In Nigeria with branches all over the world.
ARTICLE 3: AIMS AND OBJECTIVES:
The Aims and objectives of Assembly are:
(1) To promote inter-religious faith co-operation among the peoples of Nigeria.
(2) To preach peace among Nigerians.
(3) To preach the word of God.
(4) To promote creative thinking in all spheres of life.
(5) To promote literacy, African poetry, civilization and ancient history of Africa.
(6) To promote emancipation of mankind from ignorance and hatred against their fellow man.
(7) To promote healthy and equal exchange of ideas, arts, craft and books between members and other peoples of the world.
(8) To promote good health, and spread information which can lead to healthier life styles among members.
(9) To promote personal dignity, self-confidence and self-worth among members.
(10) To discourage crime, violence, drugs-abuse and similar evil vices commonly associated with young people.
(11) To take care of members welfare.

ARTICLE 4:    MEMBERSHIP:
Membership of the Assembly is open to all individuals who believe in the objectives of the Assembly, and want to work towards their realization.
1. Applicant for membership shall be nominated by at least two (2) current and active members of the Assembly.
2. An applicant becomes a member if his/her application is approved by the Convening Apostle.
ARTICLE 5: PROGRAMMES:
In pursuing the objectives set out in article 4 above, the Assembly shall:
1. Organise events with a good balance of message and excitement, including concerts, drama presentations, variety shows, healthy competitions, etc.
2. Produce and distribute relevant audio/visuals such as songs, music videos, dramas/movies, documentaries, etc.
3. Produce relevant and easily understandable write-ups, posters, stickers/bumper stickers, books, articles, tracks, online publications/web-pages/blogs, etc.
ARTICLE 6: RELATIONSHIP WITH OTHER BODIES:
The Assembly shall, where the opportunity arises, collaborate with other bodies with similar objectives. The following principles shall apply:
i. Being a non-political Assembly, the Assembly shall not associate with any political party or endorse any candidate in a political contest, although individual members of the Assembly are encouraged, as part of their civic responsibilities, to engage in political activities.
ii. The political inclinations or position of any members of the Assembly, the Executive Committee, or the Board of Trustees shall not be considered as the political inclination or position of the Assembly. This shall not, however, preclude the Assembly from promoting good governance, and promoting choice of good candidates in general.
Programmes of the Assembly shall not be used to promote or relegate any religion, political party, or any ethnic group, tribe or race.
ARTICLE 7: THE BOARD OF TRUSTEES:
1. The Trustees of THE SINNERS ASSEMBLY for the purpose of the Companies and Allied Matters Act No. 1 of 1990, Part C, shall be elected at a General Meeting charged with responsibility of selecting the Trustees with 2/3 majority votes of members present.
2. Such Trustees (hereinafter referred to as “The Trustees”) shall not be less than Two (2) or more than Ten (10) in number.
3. A Trustee may hold office for life but shall cease to hold office if he/she:
a. Resigns his office,
b. Ceases to be a member of the Registered Trustees of  the Body,
c. Becomes insane,
d. Is officially declared bankrupt
e. Is convicted of a criminal offence involving dishonesty by a court of competent jurisdiction.
f. Is recommended for removal from office by a Board of Trustees’ majority vote of members present at any General Meeting of the Assembly,
g. Ceases to reside in Nigeria.
4. Upon a vacancy occurring in the number of Trustees a General Meeting will be held to elect eligible member of the Assembly.
ARTICLE 8: OFFICERS OF THE ASSEMBLY
The Assembly shall have the following Officers:
a. Convening Apostle
b. General Secretary
c. Financial Secretary
d. Public Relation Officer
e. Committee/Departmental Heads.
ARTICLE 8.1 DUTIES OF EXECUTIVE OFFICERS
Convening Apostle:
He/she shall be the chief executive officer of the Assembly and in that capacity shall:-
1. Preside over all meetings of the Assembly whether general or executive in nature.
2. Be responsible for the proper conduct of business at such meetings.
3. Give directions to the executive officers of the Assembly.
4. Be the Assembly’s focal person in all matters relating to other organizations, institutions or the government.
5. Give the final verdict or matters on which the constitution is silent.
6. Be a member of and serve as secretary to the board of trustees.
7. As the chief executive of the Assembly, be responsible for the day to day running of the Assembly.
8. Perform such other functions as may be in the interest of the Assembly.

GENERAL SECRETARY
As head of the Assembly’s secretariat, he/she shall:-
i Record and compile all minutes; take attendance and compile resolutions adopted at meetings of the General Assembly and Executive officers.
ii. Receive and reply all correspondence of the Assembly in consultation with the president.
iii. Maintain an up-to-date register of members, branches of the Assembly as well as networks/coalition to which the        Assembly belongs.
iv. Prepare monthly, quarterly and annual reports of the Assembly’s   activities
v.   Be the custodian of the seal of the Assembly.
vi. Perform other duties as may be assigned by the Convening Apostle.

Financial Secretary
i. Prepare the annual budget of the Assembly.
ii. Receive all monies belonging to the Assembly, issue receipts and lodge same into its bank account(s).
iii. Prepare the Assembly financial reports.

PUBLIC RELATIONS OFFICER

i. Ensure that Assembly constantly maintains a good public image
ii. Prepare and carry out media campaigns/outreaches.
iii. Issue releases and statements on behalf of the Assembly after due consultation with the Convening Apostle.
iv. Be responsible for all social functions of the Assembly.

ARTICLE 8.2  ELIGIBILITY OF EXECUTIVE OFFICER
1. A member of the Assembly shall be eligible to hold an executive office provided:-
2. That he/she has been a financial member of the Assembly for at least a year.
3. He/she is duly registered and has paid all fees, dues/levies and pledges a month before the date of the election.
4. He/she has shown a commitment to the Assembly through active participation in its activities.
ARTICLE 8.3
No Executive officer of the Assembly shall hold one office for more than 10 years.
ARTICLE 8.4-Discipline.
Any member of the Assembly who is found contravening the aims and objectives of the Assembly shall be reported to a Disciplinary Committee which shall prescribe appropriate sanction(s)

ARTICLE 9: THE COMMON SEAL
a. The Trustees shall have a Common Seal.
b. Such common seal shall be kept in the custody of the secretary who shall produce it when required for use by the Trustees.
c. All documents to be executed by the Trustees shall be signed by such number of them and sealed with the Common Seal.
ARTICLE 10: MEETINGS
For effective administration of Assembly there shall be the following meetings.
(a) Annual Convention
(b) The Convening Apostle shall periodically as the need arises call for meetings.

10:2 QUORUM AT THE MEETING:
The quorum for any meeting called by the convening Apostle shall be one-third of the usual members.

ARTICLE 11: SOURCE OF INCOME:

The Sources of Income for Assembly shall include:
1. Membership dues
2. Offerings
3. Free will donations

ARTICLE 12: DISBURSEMENT AND APPLICATION OF FUNDS:
i) All monies collected on behalf of the Assembly shall be deposited in the Assembly’s account in such banks as the Trustees may from time to time approve.

ii) The signatories to the account shall be the Conveying Apostle, the Financial Secretary and the Treasurer.
iii) The disbursements of the Coalition’s funds shall be approved by the Conveying Apostle.

ARTICLE 13: KEEPING OF ACCOUNT
1. All monies must be paid into the account immediately upon receipt and on no account shall the Treasurer keep cash other than impress amount approved by the convening Apostle.
2. Finance year of the Assembly shall be from 1st January to 31st December, of every year.
3. The Assembly shall ensure the accurate keeping of record of all Income and Expenditure.
ARTICLE 14: APPOINTMENT OF AUDITOR(S):
1. Independent qualified and licensed Auditors shall be appointed by the general meeting to audit the financial records of the Assembly annually and submit and audited report to the Annual Convention of the Coalition.

2. The Audited Financial Statements (Balance sheet and income and expenditure account) duly certified by independent auditors shall be annexed to the Annual Returns and file with the Corporate Affairs Commission.

ARTICLE 15: AMENDMENTS
The Assembly may alter the provision of its Constitution at an Annual Conference by a resolution passed by simple majority of its members and approved by the Commission.

ARTICLE 16: SPECIAL CLAUSE:
THE INCOME AND PROPERTY OF THE SINNERS ASSEMBLY whatsoever derived shall be applied solely towards the promotion of the  as set forth in this Rules and Regulations/Constitution and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus, or otherwise however by way of profit, to the members of the Assembly.

2. PROVIDED that nothing herein shall prevent the payment, in good faith, or reasonable and proper remuneration to an officer or servant of THE SINNERS ASSEMBLY in return for any service actually rendered to the Assembly.

a) With the exception of ex-officio members of the Governing Council, no members of the Council of Management or Governing Body shall be appointed to any salaried office of the Coalition, or any office of Assembly paid for by fees; and

b) No remuneration or other benefits in money or money’s worth shall be given by the body to any member of such council or Governing Body except repayment of out-of-pocket expenses or reasonable and proper rent for premises demised, or let to THE SINNERS ASSEMBLY or reasonable fees for services rendered.

3. If in the event of a Winding up or Dissolution of the Corporate Body if there remains after the satisfaction of all the debts and liabilities, any property whatsoever, the same shall not be paid to and distributed among the members of THE SINNERS ASSEMBLY but shall be given or transferred to some other institution(s), having objects similar to that of THE SINNERS ASSEMBLY, such institution(s) to be determined by the members of the at or before the time of dissolution.

4. If effect cannot be given to the aforesaid provision, then the remaining property shall be transferred to some charitable object.
